SEC·Cornell Legal Information Institute

SEC(Securities and Exchange Commission, 미국 증권거래위원회) Rule 174(d)다.

[Tracking] SK hynix〉 ⑪ The “25-Day Quiet Period” Was Only Half Right

SEC Rule 174 imposes a 25-day prospectus-delivery period for certain new offeringsSK hynix itself acknowledged the disclosure constraints

Yet the KRW 375 dividend announced on Aug. 7 was never new informationwhile a KRW 54.3 trillion investment plan came with concrete numbers

Same facts, different framingBloomberg focused on the quiet period, while Reuters looked elsewhere

By Park Cheol-seong, Veteran Journalist / Director of the Research Center · Columnist

The “25-day quiet period” story was only half right.

After SK hynix listed its ADRs in the United States, a simple calculation began circulating in the market.

ADR stands for American Depositary Receipt.

It is a certificate that allows shares of a foreign company to be traded in the U.S. market.

SK hynix began trading its ADRs on Nasdaq on July 10.

The market’s calculation went like this.

ADR listing on July 10.

Restrictions lifted 25 days later, on Aug. 4.

Then, three days later on Aug. 7, came a KRW 375 dividend and a pledge of additional shareholder returns.

The implication was that the timing was no coincidence.

We checked.

▲ The key elements of SK hynix’s final prospectus and U.S. securities regulation Rule 174(d) are shown together. The prospectus is dated July 9, 2026. Rule 174(d) provides for a 25-day period related to prospectus-delivery obligations for certain newly offered securities. The 25-Day Rule Was Real

U.S. securities law does contain an actual 25-day provision.

It is SEC Rule 174(d).

For securities meeting certain conditions, dealers may remain subject to prospectus-delivery obligations for 25 days after the offering date.

If new material information emerges during that period, questions may arise over the accuracy of the prospectus, whether it needs to be supplemented, and potential liabilities under U.S. securities law.

That gives issuers reason to be cautious about releasing new material information during the period.

SK hynix itself acknowledged those constraints.

During its second-quarter earnings conference call on July 29, Song Hyun-jong, head of the company’s Corporate Center, said that regulations and procedures related to the ADR offering restricted the company from providing additional material information that had not been disclosed during the offering process.

Major Korean financial media, including the Seoul Economic Daily, also reported the same issue, citing financial-market sources.

In other words, this was not merely market speculation.

It was a constraint the company itself had publicly acknowledged.

But the Date Calculation Was More Nuanced

The cover of SK hynix’s final prospectus filed with the SEC states:

“The date of this prospectus is July 9, 2026.”

Rule 174(d), however, separately defines the offering date that starts the 25-day clock.

It is the later of the effective date of the registration statement or the first date on which the securities were bona fide offered to the public.

That means the calculation is not simply based on the date Nasdaq trading began.

The original text of SEC Rule 174(d). For certain newly listed securities, the rule states that prospectus-delivery obligations expire after 25 calendar days following the offering date. It defines the offering date as the later of the effective date of the registration statement or the first date on which the security was bona fide offered to the public. The more decisive wording appears in SK hynix’s own final prospectus.

“Through and including August 3, 2026, the 25th day after the date of this prospectus.”

The company’s statutory filing therefore directly links the July 9 prospectus date with Aug. 3 as the 25th day.

Korean media reports and Bloomberg pointed to Aug. 4 as the point when the so-called 25-day quiet period ended.

SK hynix’s final prospectus, however, states that Aug. 3 was the 25th day after the date of the prospectus.

That makes Aug. 4 the first day after the 25-day period.

The company’s own legal filing spelled out the basis for that calculation.

The Real Question Was Never the KRW 375

The KRW 375 figure did not suddenly appear.

SK hynix had already announced its 20252027 shareholder-return policy in November 2024.

At the time, it set a fixed annual dividend of KRW 1,500 per share.

Divided into quarterly payments, that comes to KRW 375.

In other words, the KRW 375 announced on Aug. 7 was not new information that had been withheld because of the 25-day restriction.

It was the regular execution of a dividend policy announced one year and nine months earlier.

Moreover, on Aug. 5, just after the period had ended, Reuters reported SK hynix’s official position.

The company said it was reviewing ways to meaningfully expand shareholder returns.

The general direction of considering additional shareholder returns therefore did not first emerge on Aug. 7.

What became more specific that day was not the KRW 375.

It was the timetable.

The company said it would finalize and announce detailed additional shareholder-return measures during the third quarter.

On the same day, another set of numbers was formally approved by the board.

KRW 35.2 trillion for the Y2 fab at the Yongin Semiconductor Cluster.

KRW 19.1 trillion for the M17 NAND fab in Cheongju.

A total of KRW 54.3 trillion.

The investment plan came with concrete amounts and construction and operation schedules.

The additional shareholder-return plan still had no number attached.

Same Facts, Different Coverage

Global media framed the same 25-day issue differently.

Bloomberg reported on Aug. 5 that analysts and local media had focused on the 25-day U.S. quiet period ending on Aug. 4.

The report was also republished by Yahoo Finance.

Reuters took a different approach.

Although it covered SK hynix several times during the same period, it did not make the 25-day rule the centerpiece of its reporting.

Instead, it focused on the company’s cash position and growing pressure from investors for larger shareholder returns.

The same “25 days Aug. 4” narrative was subsequently recirculated across Chinese-language media and some financial and cryptocurrency information platforms.

It was the same storyline that had already appeared in Korean media and Bloomberg coverage.

The Restraint Was Gone, but the New Card Was Still Missing

The 25-day rule existed.

The company itself acknowledged the restrictions.

But the KRW 375 announced on Aug. 7 was already a predetermined figure, regardless of the 25-day period.

The restraint was gone.

The new card had yet to appear.

There was still a gap between what the regulation actually explained and what the market had expected.
